WELLS LANDSCAPING, INC. (operating through wiersinc.com) ("Company," "we," "our," or "us") provides these Terms and Conditions to govern your access to our website and our professional agricultural, lawn care, garden maintenance, and landscape contracting services. By requesting a project estimate, communicating with us, or authorizing property maintenance, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, except where a separate written service agreement governs a specific project.
We provide professional landscape contracting and agricultural services. This includes, but is not limited to: seasonal lawn maintenance, garden planting, hardscaping installation, tree and shrub care, and general property beautification. The specific project scope, landscape designs, materials specifications, and pricing will be defined exclusively in a separate, fully executed written service contract or estimate.
Unless otherwise stated in writing, initial landscaping estimates provided by our team are valid for 30 days from the date issued. Estimates are based on visual property inspections and information reasonably available at the time. Final costs may change due to concealed or unforeseen property conditions discovered during excavation (e.g., severe soil compaction, hidden rock ledges), changes in nursery material pricing, or client-requested design upgrades. Any material deviations require a formal, written change order approved by the Client before additional work proceeds.
Clients are strictly responsible for funding their landscaping projects according to the payment schedule and milestone terms contained in their specific service agreement. Deposits are generally required before our crews begin ordering custom materials (e.g., specialized plantings, patio pavers) or scheduling subcontractors. In accordance with state law, we reserve the right to suspend maintenance work for materially delinquent payments and may pursue collections as permitted by Massachusetts law.
The Client agrees to provide the Company's landscaping crews and equipment with reasonable, safe, and unobstructed access to the property during scheduled working hours. The Client is strictly responsible for securing personal belongings, keeping pets indoors, and ensuring that children remain clear of the active landscaping zone prior to our daily arrival.
As an agricultural and outdoor service provider, our project schedules and maintenance milestones are highly dependent on weather conditions and are approximate unless expressly guaranteed in a separate written agreement. The Company shall not be responsible for delays caused by circumstances beyond its reasonable control, including severe New England weather conditions (e.g., heavy rain, extreme heat, flooding, or late spring snowstorms), material supply chain shortages, or unmarked utility conflicts.
You agree to accurately identify property lines and provide complete information reasonably necessary for the Company to perform the services. Crucially, the Client is strictly responsible for disclosing the location of all private underground utilities (e.g., invisible dog fences, private septic lines, landscape lighting, and irrigation sprinkler heads) prior to any excavation, aeration, or planting work. We will contact Massachusetts Dig Safe (811) for public utility locates as required by law prior to major earthwork.
The Company maintains comprehensive commercial professional and general liability insurance. However, to the fullest extent permitted by applicable law, the Company's aggregate liability arising from its services will be strictly limited to the direct cost of correcting our specific scope of work as permitted under the applicable agreement. We are explicitly not responsible for damage to unmarked private underground utilities (such as sprinkler lines or dog fences) or pre-existing property wear. We are not liable for indirect, incidental, special, exemplary, or consequential damages.

These Terms and Conditions and all landscaping service contracts shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. Any legal disputes arising from our services must be resolved through good faith negotiation. If litigation becomes necessary, both parties consent to the exclusive jurisdiction of the state and federal courts located in Norfolk County, Massachusetts.
You agree to fully indemnify and hold harmless the Company, its crews, and staff from any claims, losses, damages, or liabilities arising from your material misrepresentation of property boundaries or failure to disclose known private underground utilities prior to excavation. If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, that specific provision shall be limited to the minimum extent necessary so that the remainder of these Terms shall remain in full legal effect.
